Terms of Service

1. Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of sub.management ("the Service"), operated by Lewis Harris Ltd ("we", "us", "our"), a New Zealand company. By creating an account or using the Service, you agree to be bound by these Terms.
If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms, and references to "you" include that organisation.
2. The Service
sub.management provides tools for New Zealand construction contractors to create and manage subcontract documents, variation instructions, payment schedules, and notices under the SA-2025 standard form subcontract and the Construction Contracts Act 2002 (CCA).
The Service is intended as a document management and workflow tool. It does not constitute legal advice. You are responsible for ensuring that documents created using the Service comply with your specific contractual obligations, applicable law, and industry standards. We strongly recommend engaging a qualified construction lawyer or quantity surveyor for advice on specific situations.
3. No Legal Advice
sub.management is a software tool, not a legal service. The compliance checking, AI Advisor, CCA guidance, and document templates provided by the Service are for general informational purposes only and do not constitute legal advice.
The SA-2025 standard form, CCA requirements, and construction law are complex. Reliance on the Service alone, without independent professional advice, is at your own risk. Lewis Harris Ltd accepts no liability for losses arising from reliance on the Service for legal or compliance purposes.
4. Account Registration
You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials and for all activity under your account.
You must notify us immediately at office@lewisharris.co.nz if you suspect unauthorised access to your account.
You must be 18 years of age or older to use the Service. By using the Service, you represent that you meet this requirement.
5. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law;
- Upload or transmit content that infringes third-party intellectual property rights;
- Attempt to gain unauthorised access to any part of the Service or other users' accounts;
- Use automated tools to scrape, extract, or bulk-download content from the Service;
- Interfere with or disrupt the integrity or performance of the Service;
- Reverse engineer, decompile, or attempt to extract the source code of the Service;
- Resell, sublicense, or provide the Service to third parties as a white-labelled product without written agreement.
6. Your Content
You retain ownership of all subcontract documents, variation instructions, and other content you create or upload using the Service ("Your Content"). By using the Service, you grant Lewis Harris Ltd a limited, non-exclusive licence to store and process Your Content solely as necessary to provide the Service.
You are responsible for ensuring that Your Content does not violate any third-party rights, applicable law, or these Terms. You indemnify Lewis Harris Ltd against any claims arising from Your Content.
7. Intellectual Property
The Service, including its software, design, trademarks, and documentation, is owned by Lewis Harris Ltd and protected by New Zealand and international intellectual property laws. Nothing in these Terms grants you ownership of any part of the Service.
The SA-2025 standard form is a registered form. sub.management is not affiliated with or endorsed by the organisations that publish SA-2025.
8. Subscription and Payment
Access to the Service is subject to the pricing and payment terms agreed at the time of subscription. All fees are in New Zealand Dollars and are exclusive of GST unless otherwise stated.
We reserve the right to modify pricing with reasonable notice. If you do not agree to a pricing change, you may terminate your subscription before the change takes effect.
Subscriptions are non-refundable except where required by the Consumer Guarantees Act 1993 or Fair Trading Act 1986.
9. Limitation of Liability
To the maximum extent permitted by law, Lewis Harris Ltd's total liability to you for any claim arising out of or in connection with the Service is limited to the fees paid by you in the 12 months preceding the claim.
Lewis Harris Ltd is not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of or inability to use the Service, even if advised of the possibility of such damages.
Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded under New Zealand law, including the Consumer Guarantees Act 1993 where it applies.
10. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranty of any kind, express or implied. We do not warrant that the Service will be error-free, uninterrupted, or suitable for your specific requirements.
Compliance scores, CCA deadline calculations, and AI Advisor outputs are provided for guidance only. You must independently verify all compliance matters with a qualified professional.
11. Termination
You may terminate your account at any time by contacting us at office@lewisharris.co.nz.
We may suspend or terminate your access if you breach these Terms, fail to pay subscription fees, or if we reasonably believe continued access poses a risk to the Service or other users. We will provide reasonable notice where practicable.
On termination, you may request an export of Your Content within 30 days. After that period, your data will be deleted in accordance with our Privacy Policy.
12. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated by email or by prominent notice in the Service at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
13. Governing Law
These Terms are governed by the laws of New Zealand. Any disputes arising under these Terms will be subject to the exclusive jurisdiction of the New Zealand courts.
